Limited Liability Company is relatively a new form of business in the US. All the 50 states have enacted laws to legally recognize the LLC form of business with some variations. LLC definition is it is a legal business structure which offers personal liability protection to business owners as in a Corporation and provides the flexibility of operations as in a partnership. This is an appropriate structure for small businesses that needs high flexibility in decision making and operational procedures.  The limited liability status protects the business owners from debts and liabilities of the business.

The procedures and formalities for organizing an LLC depend on the laws of the state in which the LLC is being organized. Different states have varied requirement for forming an LLC. Filing an Articles of Organization and paying the filing fees is common to all states. The articles may vary in each state. But all states require that the purpose and the personal details of the members and registered agent be included in the Articles. Some states insist on an LLC operating agreement along with the articles and publication of the intent to form the LLC.

For organizing or incorporating yourself in a state, spend some time with the instructions provided by the state for LLC formation. The procedures and formalities are not complicated and you may save considerable amount of money by incorporating yourself. The Articles are usually a standard form which requires to be filled and signed by the organizer. How to choose a name for your LLC or to find whether the name chosen by you is available for use to ‘do business as’ are clearly stated in the instructions by states. Though it is quite possible to do it yourself, it may be advisable to get professional help in drafting your operating agreement to avoid any complications with law at a future date.
